Welcome to Entobo Technologies Limited! These Terms of Service ("Terms") govern your use of our integrated client onboarding, relationship, website, other services and project management platform (the "Services"). By accessing or using the Service, you agree to comply with these Terms.

  • "Client" refers to individuals or organizations you onboard or manage through the Service.

By registering, accessing, or using the Service, you confirm that you are of legal age to enter into a binding agreement, have read, understood, and agree to these Terms, along with our Privacy Policy (which explains how we collect, use and store your personal data). Limitation of Liability

To the fullest extent permitted by law, we are not liable for Indirect, incidental, special, exemplary or consequential damages arising from your use of the Service including damages for loss of profits, goodwill, use or data or other losses, even if we have been advised of the possibility of such damages. Our aggregate liability under the Terms shall not exceed the greater of the amount you paid for the Service that gave rise to the claim during the three (3) months before the liability arose.

Warranties

The Services are provided “as is”. Except to the extent prohibited by applicable law, we, our affiliates and licensors make no warranties (express, implied, statutory or otherwise) with respect to the Service and disclaim all warranties including but not limited to, warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, quiet enjoyment and any warranties arising out of any course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, accurate or error free.

Enforcing of Terms

Our failure to enforce a provision is not a waiver of our right to do so later. Except as provided in the dispute resolution section above, if any portion of these Terms is determined to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible, and it will not affect the enforceability of any other terms.

Termination

By You: You may terminate your account at any time.

By Us: We may suspend or terminate your account for:

  • Breach of these Terms.
  • In order to comply with the applicable law.
  • Non-payment of fees.
  • Activities that disrupt the Service.

Data Access Post Termination:Upon termination, you may request a copy of your data within 30 days, subject to applicable laws.

Governing Law and Dispute Resolution

Informal Process First: You agree that in the event of any dispute between You and Us, You will first contact us and make a good faith sustained effort to resolve the dispute before resorting to more formal means of resolution, including without limitation, any court action.

Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.

  • Breach of these Terms.
  • In order to comply with the applicable law.
  • Non-payment of fees.
  • Activities that disrupt the Service.
3.

Dispute Resolution:: Any disputes arising from these Terms will be resolved through arbitration in accordance with Arbitration and Mediation Act 2023 (AMA), with proceedings conducted in Lagos Nigeria.

Amendment

We may update these Terms periodically. Changes will take effect upon posting on our website. You will be notified of significant changes via email or the Service.
